Confidentiality & Non-Disclosure Agreement

This Confidentiality and Non-Disclosure Agreement (the “Agreement”) is entered into between Partner Desk by Creators United FZC LLC (the “Recipient”), a company organised under the laws of the United Arab Emirates, operating the Partner Desk software-as-a-service platform, and theAgency (the “Disclosing Party”) that registers an account on the Partner Desk platform.

By creating an agency account and accepting this Agreement, the Agency's administrator confirms they have the authority to bind their organisation to these terms.

This Agreement takes effect on the date the Agency creates its Partner Desk account and accepts this Agreement (the “Effective Date”). The current version of this Agreement is Version 1.0, effective September 1, 2026.

“Confidential Information” means any and all non-public information disclosed by or on behalf of the Agency to Partner Desk through the platform, whether in electronic, oral, visual, or written form.

“Representatives” means the employees, contractors, and sub-processors of Partner Desk who have a legitimate need to access Confidential Information to provide the platform services.

“Platform” means the Partner Desk software-as-a-service application, including all features, tools, dashboards, and associated services.

Confidential Information includes, without limitation:

• Client names, contact details, and relationship history
• Project information, briefs, and creative deliverables
• Supplier details, pricing, contracts, and performance data
• Booking details, schedules, and logistics
• Financial information including budgets, quotes, invoices, and pricing
• Proposals, pitch decks, presentations, and rate cards
• Team member information and internal communications
• Business strategies, processes, and operational methods
• Any data uploaded, created, or stored within the Platform

Partner Desk agrees to:

• Hold all Confidential Information in strict confidence
• Use Confidential Information solely for the purpose of providing and improving the Platform services for the Agency
• Not disclose, share, sell, or make available any Confidential Information to any third party without the Agency's prior written consent
• Restrict access to Confidential Information to authorised Representatives who have a legitimate business need and who are bound by confidentiality obligations no less protective than those in this Agreement
• Implement and maintain reasonable technical and organisational measures to protect Confidential Information from unauthorised access, use, or disclosure
• Not use Confidential Information for any commercial purpose other than providing the Platform to the Agency
• Not use Confidential Information to compete with the Agency or to solicit the Agency's clients or suppliers

Confidential Information does not include information that:

• Is or becomes publicly available through no breach of this Agreement
• Was rightfully known to Partner Desk before disclosure by the Agency
• Is independently developed by Partner Desk without use of or reference to Confidential Information
• Is required to be disclosed by law, regulation, or court order, provided that Partner Desk gives the Agency reasonable notice to seek a protective order

Partner Desk implements industry-standard security measures to protect Confidential Information, including encryption in transit (TLS 1.2+) and at rest (AES-256), role-based access controls, and regular security reviews. Partner Desk acts as a data processor with respect to the Agency's data. The Agency remains the owner and controller of all Confidential Information stored on the Platform at all times.

This Agreement remains in effect for the duration of the Agency's use of the Platform and for a period of five (5) years following termination of the Agency's account. The confidentiality and non-disclosure obligations shall survive termination of the Platform subscription.

Upon the Agency's request or upon termination of the account, Partner Desk will, at the Agency's option, return or securely delete all Confidential Information stored on the Platform within thirty (30) days. Partner Desk may retain copies as required by law or as part of routine backup procedures, provided such copies remain subject to this Agreement.

The Agency may request data export at any time through the Platform or by contacting our support team.

The Agency acknowledges that any breach of this Agreement may cause irreparable harm for which monetary damages may not be an adequate remedy. Accordingly, the Agency shall be entitled to seek injunctive relief in addition to any other available remedies, without the necessity of posting a bond.

This Agreement is governed by the laws applicable to the Agency's jurisdiction. For agencies operating in the United Arab Emirates, the laws of the UAE apply and disputes shall be subject to the jurisdiction of the courts of Dubai. For agencies operating in other jurisdictions, the laws of that jurisdiction shall apply, and disputes shall be resolved in the courts of competent jurisdiction therein. Where the Agency's jurisdiction does not specify a governing law, the laws of the United Arab Emirates shall apply as Partner Desk by Creators United FZC LLC's home jurisdiction.
